Bylaws of the Rogue Gateway Rotary Club

Article I Nomination and Election of Directors and Officers
Section 1
- A nominating committee shall annually be appointed by the President for the
nomination of qualified members to be officers and directors of the club, such nominating
committee shall be composed of the three most immediate past presidents (still members of the
club), the president, and the president-elect.

Section 2 - The names of all members nominated as officers and board members as selected by the
nomination committee shall be read at each of the three (3) regular meetings of the club held immediately prior to the annual meeting, and any member being placed in nomination from the floor for any such office shall have his\her name read at any and all of the said three (3) regular meetings that might be held after his\her name has been placed in nomination.

Section 3 - The nominations duly made shall be voted on at the annual meeting. The candidates for
president, vice president, secretary, and treasurer receiving a majority of the votes shall be declared
elected to their respective offices. The five (5) candidates for director receiving a majority of the votes shall be declared elected as directors. The president elected in such balloting shall serve as a member of the board as president-elect for the year commencing on the first day of July next following the election, and shall assume office as president on the first day of July immediately following the year of service on the board as president-elect.

Section 4 - The officers and directors so elected; together with the immediate past-president
constitute the board and shall take office on the 1 July immediately following his/her election, and shall serve for the period of his/her election or until his/her successor shall have been elected and qualified. All officers shall serve for a term of one (1) year with the exceptions that the Secretary and Treasurer may be elected to office annually for not more than six (6) annual terms. Each officer and director shall be an active, including additional active, senior active or a past service member in good standing of this club.

Section 5 - A vacancy in the board of directors or any office shall be filled by action of the remaining members of the board.

Section 6 - A vacancy in the position of any officer-elect or director-elect shall be filled by action of the remaining members of the board of directors-elect.

Section 7 - Any director, whether or not an officer, may be removed with or without cause at a regular meeting of the members by a vote of a majority of the members entitled to vote for the election of board members. Such vote shall be by written ballot.

Article II Board of Directors
The governing body of this club shall be the 'board of directors
consisting of eleven (11) members of this club, namely, five (5) directors elected in accordance with
article I, section 3, of these bylaws, the president, vice-president, president-elect, secretary, treasurer, and the immediate past president.

Article III Duties of Officers
Section 1 - President. It shall be the duty of the president to preside at meetings of the club and board and to perform such other duties as ordinarily pertain to the office of president.
The president shall serve on the nominating committee as provided in Article I hereof.
